This website is operated by Noorae®. Throughout the site, the terms “we”, “us” and “our” refer to Noorae®. Noorae® offers this website, including all information, tools and Services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.
Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any Services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.
Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and Services to you.
Definitions
Noorae®: Noorae, located in The Netherlands, Chamber of Commerce number: 98401106.
Customer: The party with whom Noorae has entered into an agreement.
Parties: Noorae and the Customer collectively.
Consumer: A Customer who is an individual acting for personal purposes.
Applicability
These terms and conditions apply to all quotations, offers, activities, orders, agreements, and deliveries of services or products by or on behalf of Noorae.
Deviations from these terms are only valid if agreed upon in writing.
The applicability of any general terms and conditions of the Customer or third parties is expressly excluded.
Prices and Payment
Prices are in euros, inclusive of VAT and exclusive of additional costs unless agreed otherwise.
Noorae may change prices at any time.
Payment terms are strict deadlines; failure to pay on time results in default.
Noorae may require down payments or security for payment.
Increases in cost prices may lead to price increases, with the Consumer having the right to cancel under certain conditions.
Samples, Models, and Product Information
Samples or models are indicative only, unless agreed otherwise in writing. All images, descriptions, and promotional material are non-binding.
Delivery and Transportation
Delivery occurs while stocks last and at the agreed location.
Delivery times are indicative; Noorae is not liable for delays unless agreed otherwise.
The Customer bears transport costs unless otherwise agreed.
The Customer must ensure proper delivery conditions and inspect products upon receipt.
Right of Withdrawal and Returns
Consumers may cancel online purchases within 24 hours when not already processed, except for products not eligible by law (used items, custom products, etc.).
The withdrawal period starts on receipt of the last product or confirmation of digital content.
Products must be returned within 30 days; delivery costs are reimbursed if the full order is returned. Please refer to the return policy for the complete process.
Warranty and Liability
Warranty applies only to manufacturing defects.
Noorae is not liable for indirect damage, normal wear, accidents, or misuse.
The Customer bears the risk of loss or damage upon delivery.
Retention of Title and Right of Retention
Noorae remains owner of products until full payment.
Noorae may reclaim products or retain them until payment is made.
The Customer may not pledge, sell, or encumber products before ownership transfer.
Complaints and Notice of Default
Complaints must be reported promptly; Consumers have specific deadlines (1–2 months).
Notices of default must be in writing and timely received by Noorae.
Force Majeure
Noorae is not liable for non-performance due to force majeure, including emergencies, supplier issues, strikes, or severe weather.
Obligations are suspended until performance is possible; agreements may be dissolved after 30 days of force majeure.
Amendments and Transfers
Agreements and terms may be amended by mutual consent.
Customers may not transfer rights without written consent.
Dissolution
The Customer may dissolve the agreement in case of attributable failure by Noorae.
Noorae may dissolve the agreement if the Customer fails obligations or is reasonably expected not to fulfill them.
Intellectual Property and Use
All images, designs, and content remain Noorae’s property.
Customers may not reproduce or use content without consent.
Indemnification
The Customer indemnifies Noorae against claims from third parties related to the products or services.
Liability of the Parties
Noorae is only liable for direct damages caused by intent or deliberate recklessness.
Multiple Customers are jointly and severally liable for obligations.
Liability is limited to amounts covered by insurance or invoiced amounts.
Expiry Period
Rights to claim compensation expire 12 months after the event causing liability, unless legally stipulated otherwise.
Packaging, Storage, and Handling
Damage during transport must be noted; otherwise, Noorae is not liable.
Risks and costs for late or improper collection are borne by the Customer.
Governing Law
These terms are governed by Dutch law. The court where Noorae is established has exclusive jurisdiction, unless law provides otherwise.
